
# Terms of Service

## 1. Who we are

saascode.ai is operated by **SAASCODE, LLC**, a limited liability company formed in the State of Delaware, United States (Delaware file number 10701106).

In these Terms, "we", "us" and "saascode" mean SAASCODE, LLC. "You" means the person or company using saascode.ai or buying a product from us.

## 2. What these Terms cover

These Terms apply when you browse saascode.ai, create an account, buy a product, subscribe to PLUS, or claim anything we give away for free.

By creating an account or completing a purchase, you accept these Terms. If you are accepting on behalf of a company, you confirm you have the authority to bind it.

## 3. Who you are buying from

We sell through a **merchant of record**. Our current payment provider is **Creem** (Armitage Labs OÜ). We may use other merchant-of-record providers over time; the seller named on your receipt and on your bank or card statement is the one that handled your purchase.

This has real consequences worth understanding:

- The payment transaction is between you and the merchant of record. It is the legal seller for that transaction, appears on your statement, issues your receipt, and collects and remits any VAT, GST or sales tax due in your country.
- The merchant of record has its own buyer terms, which govern the payment itself and apply alongside these Terms.
- **We own the products and grant you the licence** described in section 5. That relationship is with us, not with the payment provider.
- Refunds and chargebacks are processed exclusively by the merchant of record. We decide whether a refund request meets the policy in section 9 and instruct them accordingly. The merchant of record may also issue a refund on its own initiative where the law, a card scheme, or a regulator requires it, or where there is a technical error, duplicate charge, or suspected fraud.

We do not collect card details and never see them.

## 4. What you are buying

We sell finished SaaS applications **as source code**, as a one-time purchase. You download the code and run it on your own infrastructure. We do not host the product for you, and there is no ongoing service to keep it running.

We currently list 22 products across two tiers, priced in US dollars: standard products from $89 to $179, and premium products from $199 to $349. Current prices are always the ones shown on the product page.

Everything we sell is built by us. We hold the intellectual property rights in the code we sell, other than open-source components, which remain under their own licences and are identified in each product.

## 5. Your licence

When your purchase completes, we grant you a **perpetual, worldwide, non-exclusive, non-transferable licence** to the version of the product you bought and to any updates we release for it.

Purchases made before 26 August 2026 keep the licence wording they were bought under — the domain terms below apply to purchases made on or after that date.

### You may

- Use the source code to build and operate **your own products**: a Standard licence covers **up to two public domains** per product (localhost, CI and preview deployments never count); a Client licence covers **up to five client deployments**. Need more? Additional licences are available from your dashboard.
- Modify it however you want.
- Deploy it for your own business, or build and deliver a product to a client with it and charge whatever you charge.
- Keep and use everything you have bought, permanently, whether or not you keep an account or a PLUS subscription with us.

Products include a **one-time licence activation** in the setup wizard and a disclosed update-check. Activation is fail-open: an outage on our side never blocks your install. Each download is **fingerprinted to your purchase**.

### You may not

- **Resell, redistribute, sublicense or give away the source code itself**, in whole or in substantial part. You build and deliver *with* it; you do not sell *it*.
- Publish it in a public repository, include it in a starter kit, template pack, course or bundle, or otherwise make it available to people who have not bought it from us.
- Share your account credentials or your download links with anyone outside your company.
- Remove or obscure the copyright or licence notices in the code.

The licence is granted to you, or to the single company you bought on behalf of. If you deliver a project to a client using our code, the client may use and own that project — but the client does not receive a licence to reuse our source code on other projects. If they want that, they buy their own.

If you breach these restrictions, the licence terminates. Section 19 explains what that means.

## 6. Delivery

Delivery is a download, not a shipment, and is effectively instant.

When your payment is confirmed, your account is granted access to the product. You sign in, and our server issues a short-lived signed download link — valid for about 60 seconds — pointing at a private storage bucket. You can generate a new link whenever you need one, as often as you need.

Downloads are versioned. You always get the current release of the product you own.

If a download fails or a link expires before you use it, just request another one. If something is genuinely broken, email support@saascode.ai.

## 7. Updates

Purchasing a product includes **updates to that product for as long as we maintain it**. There is no separate renewal fee and no expiry date on your access.

To be honest about what that means: "lifetime" is bound to the life of the product, not to a guarantee about the future. We may stop maintaining a product — because the underlying stack changes, because a dependency is discontinued, or because we retire it from the catalog. If we do, you keep every version already released, forever. You do not get a refund for a retired product, and we do not promise a specific update frequency, specific future features, or compatibility with future versions of any third-party service.

Updates are made available through the same download mechanism. It is up to you to decide whether and when to apply them to a deployment you are already running.

## 8. Price, currency and tax

All prices are shown and charged in **US dollars**.

The price on the product page excludes any VAT, GST or sales tax. Where tax applies in your country, the merchant of record calculates it, adds it at checkout, collects it, and remits it. Your receipt comes from the merchant of record and is the document to use for your own accounting.

We may change prices at any time. A price change never affects a purchase already completed.

## 9. Refunds

Because the product is source code delivered instantly and in full, our policy is:

- **Before you download:** you can request a full refund within **14 days** of purchase, for any reason, as long as you have not downloaded the product. Email support@saascode.ai from the address you purchased with.
- **After you download:** the purchase is final. Once you hold the source code, we cannot take it back, so we do not offer refunds at that point.

Two exceptions, both regardless of whether you downloaded:

- **The product is materially broken or not as described.** Tell us at support@saascode.ai and give us a reasonable chance to fix it. If we cannot, we will refund you.
- **A duplicate or accidental charge.** We refund it.

Nothing here limits rights you have under mandatory consumer law where you live. If you are a consumer in the EU or UK, see section 10.

Approved refunds are processed by the merchant of record back to your original payment method, usually within 5 to 10 business days.

## 10. EU and UK consumers: right of withdrawal

If you are a consumer in the EU or the UK, you normally have 14 days to withdraw from a distance purchase. For digital content delivered immediately, that right is lost once delivery begins — provided you asked for immediate delivery and acknowledged the loss of the right.

That consent is carried by the merchant of record's own buyer terms, which you accept when you complete the purchase. They record your prior express consent to delivery starting before the 14 days are up, and your acknowledgement that the withdrawal right is lost as a result — there is no separate box to tick, completing the checkout is the act that gives it.

If you have not downloaded, your withdrawal right is intact, and our 14-day pre-download refund in section 9 exists to make that simple.

## 11. Chargebacks

If you have a problem, email us first. We would rather fix it or refund you than fight a dispute.

Chargebacks are handled by the merchant of record. If you file a chargeback on a product you have downloaded, we treat it as a breach of section 5: we may revoke your licence and your access to that product and to your account, and we will provide the merchant of record with our delivery records.

## 12. PLUS subscription

PLUS is an **optional** monthly subscription, currently **$49 per month**, separate from any product purchase.

**What it includes:** access to products available only to PLUS members, continuous human support for your purchases while the subscription is active, and Genesis over MCP. PLUS does not change product prices — every product costs the same for members and non-members. Browsing Genesis on the site is free to everyone and does not require PLUS.

**Billing:** charged monthly in advance, on the same date each month, by the merchant of record, until you cancel. Prices may change with at least 30 days' notice before your next renewal.

**Cancelling:** you can cancel at any time, yourself, from your account settings or through the merchant of record's customer portal. No email required, no retention call. Cancellation takes effect at the end of the period you have already paid for. We do not refund partial months.

**What cancelling does not take away — read this, it matters:**

- Every product you bought while on PLUS, including PLUS-only products, **stays yours permanently**. You keep the licence and you keep download access.
- You keep updates on those products, on the same terms as section 7.

**What cancelling does take away:**

- The member discount on future purchases.
- The ability to buy PLUS-only products you have not already bought.

Failed payments: if a renewal fails, the merchant of record will retry. If it keeps failing, PLUS lapses and the two lines above apply. Nothing already purchased is affected.

## 13. Free offerings

**Monthly free product.** Each month we release one catalog product, with its source, free at /free-saas. To claim it you need an account with a verified email address, and you need to meet whatever conditions are stated on that page at the time. Claims are open during the calendar month of the release, and each product can be claimed once per account.

A claimed free product is licensed to you on exactly the terms in section 5 — same rights, same no-resale restriction. It is not a trial and does not expire.

**saas-base.** A free boilerplate we intend to publish openly. When it is published it will carry its own licence, stated in the repository, which governs it instead of section 5.

We can change or end the free programme at any time. That never affects anything you have already claimed.

## 14. Your account

You need an account to download. You register with an email address and password. If we enable sign-in through a third-party provider, it will appear on the sign-in page and our Privacy Policy describes what we receive from it.

You are responsible for keeping your credentials secure and for everything done through your account. Accounts are for one person or one company — do not share them. Tell us at support@saascode.ai if you think your account has been accessed by someone else.

You must give accurate information, and you must be at least 16 years old, or the age of digital consent where you live if that is higher.

You can ask us to delete your account at any time. See our Privacy Policy for what happens to your data. Deleting your account ends your access to downloads; the licence to what you bought survives, but you will need to contact us to retrieve files afterwards.

## 15. Support

**What is included:** if you own a product, you can open a ticket from your dashboard. We also have a public enquiry form and support@saascode.ai, which is a monitored mailbox.

We aim to reply within 3 business days.

Support covers: problems downloading, defects in the code as shipped, questions about what a product does and how it is structured, and licence questions.

**What is not included:** we do not debug your modifications, build features for you, set up your hosting or third-party accounts, migrate your data, provide devops or on-call support, or teach general web development. We are not obliged to support a product on a stack or platform it was not built for.

If you need work done rather than answers, contact us and we will tell you whether we take it on and on what terms. That would be a separate agreement, not part of these Terms.

## 16. Acceptable use

Do not use saascode.ai to break the law, infringe anyone's rights, distribute malware, attack or overload our infrastructure, scrape it at scale, circumvent access controls or payment, or resell our code in breach of section 5.

Our AI assistant, Ada, answers questions about the site and the catalog. It is generated output and can be wrong. Do not rely on it for legal, financial or technical decisions, and do not put sensitive information into it. What Ada says does not change these Terms or a product's documented behaviour; where they conflict, these Terms and the product documentation win.

## 17. Warranties and what we do not promise

We provide the products **"as is" and "as available"**.

We do warrant that we have the right to license what we sell you, and that at the time of release the product materially does what its product page and documentation describe. If it does not, section 9 applies.

Beyond that, and to the fullest extent the law allows, we disclaim all other warranties, express or implied — including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the software will be uninterrupted, error-free, secure, or compatible with your environment.

Specifically, we do not promise that: the code will suit your particular business without modification; it will keep working when a third-party API, library or platform changes or shuts down; it will make your project compliant with regulation applicable to you; or that any third-party service the product integrates with will remain available or affordable.

**You are the operator of what you deploy.** Once you run our code, you are responsible for your hosting, your keys and secrets, your users' data, your backups, your security posture, and your legal compliance.

Some jurisdictions do not allow certain disclaimers. Where that applies, this section applies as far as the law permits.

## 18. Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or business interruption — even if warned that they were possible.

Our total aggregate liability arising out of or relating to these Terms or any product is limited to **the amount you paid us for the product giving rise to the claim in the 12 months before the claim arose**.

Nothing here excludes liability that cannot be excluded by law, including for fraud, or for death or personal injury caused by negligence. If you are a consumer, your mandatory statutory rights are unaffected.

## 19. Suspension and termination

You can stop using saascode.ai at any time, cancel PLUS at any time, and ask us to close your account at any time.

We may suspend or terminate your account, and revoke the licence, if you materially breach these Terms — in particular section 5 (redistributing source code) or section 16 — or if we are required to by law. Where the breach can be fixed and the circumstances allow, we will tell you what the problem is and give you a reasonable chance to fix it first.

If your licence is terminated for breach, you must stop using and delete the source code. Sections 5 (restrictions), 11, 17, 18, 20 and 21 survive termination.

## 20. Governing law and disputes

These Terms are governed by the laws of the **State of Delaware, United States**, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and both parties submit to it.

If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may be able to bring proceedings there.

Before filing anything, email support@saascode.ai. Most things are cheaper and faster to resolve directly.

Note that the payment transaction itself is governed by the merchant of record's own buyer terms, which may specify a different law and venue for disputes about the payment.

## 21. Changes to these Terms

We may update these Terms. The "Last updated" date at the top always reflects the current version.

For material changes we will give notice — by email to your registered address, or through a notice on the site and in your dashboard — at least 30 days before they take effect, and for PLUS subscribers before the next renewal.

Changes apply going forward. **They never change the licence terms of a product you have already bought**; that licence is governed by the Terms in force when you bought it.

Continuing to use the site or your account after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the site — you still keep everything you have purchased.
